Terms of Service
These Terms of Service are a legal agreement between you and Green Mountain Ventures LLC. Please read them carefully. They include a limitation of liability, disclaimers of warranties, and a waiver of class actions and jury trial.
These Terms of Service (the "Terms") govern your access to and use of Shelfdrive, the web application available at shelfdrive.com (the "Service"), operated by Green Mountain Ventures LLC ("Green Mountain Ventures," "we," "us," or "our"). By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Agreement to these Terms
These Terms, together with our Privacy Policy, form the entire agreement between you and Green Mountain Ventures LLC regarding the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. We may update these Terms from time to time as described in Section 15.
2. The Service
Shelfdrive is a wiki and knowledge-base interface for Google Drive. It adds folder-tree navigation, search, and document access on top of a Google Drive you already own and control. Shelfdrive does not replace, host, or migrate your files: your documents remain in Google Drive at all times and continue to be governed by your agreements with Google. The Service depends on the continued availability of the Google Drive API and other third-party services, and we may modify, add, or discontinue features at any time.
3. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You access the Service by signing in with a Google account; you are responsible for that Google account and for all activity that occurs under your Shelfdrive account. You agree to provide accurate information and to keep your Google account secure. Notify us promptly at support@shelfdrive.com if you suspect unauthorized use of your account.
4. Google account authorization
To use the Service, you authorize Shelfdrive, through Google OAuth, to access your Google Drive and basic profile information. You represent that you have the right to grant this access and to connect any Drive, folder, or document you make available through the Service. You may revoke this authorization at any time through your Google account settings; doing so will disable the features of the Service that depend on it. Your use of Google Drive and Google Workspace is governed by Google's own terms, not by these Terms.
5. Your content
"Your Content" means the documents, files, folder structures, and other materials in your Google Drive that you access or make available through the Service, together with workspace names, settings, and other information you provide. As between you and us, you retain all rights in and responsibility for Your Content. We do not claim ownership of Your Content, and Shelfdrive does not store the contents of your documents.
You grant Green Mountain Ventures LLC a limited, non-exclusive license to access, read, transmit, display, and process Your Content solely as necessary to operate and provide the Service to you. You are solely responsible for Your Content, for having the necessary rights to it, and for ensuring that your use of it through the Service complies with applicable law and with the rights of others.
6. Acceptable use
You agree not to, and not to permit anyone else to:
- use the Service in violation of any applicable law or regulation, or to infringe the intellectual property, privacy, or other rights of any person;
- upload, share, or make available through the Service any content that is unlawful, harmful, defamatory, or that you do not have the right to share;
- access, search, or scrape the Service by automated means except as expressly permitted by us;
- probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
- interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except where this restriction is prohibited by law;
- resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted; or
- misrepresent your identity or affiliation, or use the Service to transmit malware or to send unsolicited communications.
We may investigate and take appropriate action, including suspending or terminating accounts, for any violation of these Terms.
7. Subscriptions, fees, and billing
Certain features of the Service require a paid subscription. Prices and plan features are described on our pricing page. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees, including any taxes, on each renewal until you cancel.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you will retain paid features until then. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused features, or downgrades. We may change our prices or plan structure on prospective notice; changes take effect at your next renewal.
8. Free plan
We may offer a free Personal plan. Free access is provided "as is," may be subject to usage limits, and may be modified, limited, or discontinued at any time without liability to you. We may also offer trials of paid features, which convert to paid subscriptions unless cancelled before the trial ends.
9. Intellectual property
The Service, including its software, design, text, graphics, logos, and the "Shelfdrive" name and brand, is owned by Green Mountain Ventures LLC or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. No rights are granted to you except as expressly set out in these Terms. If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
10. Third-party services
The Service relies on and integrates with third-party services, including Google, Supabase, Vercel, Stripe, Resend, Sentry, Plain, Slack, and Upstash. A description of how each of these handles your data is set out in our Privacy Policy. Your use of those services is governed by their own terms and privacy policies. We are not responsible for, and disclaim all liability arising from, the acts, omissions, availability, or performance of any third-party service. If a third-party service changes, restricts, or discontinues access — including the Google Drive API — features of the Service may be affected or become unavailable.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, GREEN MOUNTAIN VENTURES LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED. YOU USE THE SERVICE AT YOUR OWN RISK. SHELFDRIVE IS NOT A BACKUP SERVICE, AND YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN COPIES OF YOUR CONTENT.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GREEN MOUNTAIN VENTURES LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE EXCLUSIONS OR LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Green Mountain Ventures LLC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, Your Content, your violation of these Terms, or your violation of any law or the rights of any third party.
14. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time — with or without notice — if we reasonably believe you have violated these Terms, if required by law, to protect the Service or other users, or if providing the Service to you becomes impractical. Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including Sections 5, 9, 11, 12, 13, 16, and 17 — will survive termination. Because Shelfdrive does not store your document contents, terminating your account does not affect the documents in your Google Drive.
15. Changes to the Service and these Terms
We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at legal@shelfdrive.com and attempt to resolve the dispute informally in good faith for at least thirty (30) days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Colorado, and you and Green Mountain Ventures LLC consent to the personal jurisdiction of those courts.
TO THE EXTENT PERMITTED BY LAW, YOU AND GREEN MOUNTAIN VENTURES LLC EACH WAIVE ANY RIGHT TO A TRIAL BY JURY AND AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Any claim must be brought within one (1) year after it arises, or it is permanently barred.
17. General
If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms do not create any partnership, agency, or employment relationship between you and us. Nothing in these Terms limits any rights you may have that cannot be limited by law.
